What is it?
When you hire a freelancer, there are two critical legal concepts you must document: Scope of Work (SOW) (what they do) and Intellectual Property (IP) Assignment (who owns it). An NDA (Non-Disclosure Agreement) adds a layer of secrecy.Why is it important?
Here is a scary fact: In many jurisdictions, if you hire a designer to make a logo but don't sign a contract explicitly stating \"Work for Hire\" or \"IP Assignment,\" the designer still owns the copyright. They can legally charge you licensing fees later or stop you from using it. An NDA prevents them from telling your competitors your upcoming product launch details.How to Structure the Contract:
- Define the Scope clearly: Refer back to your Brief. Attach it to the contract as \"Exhibit A.\"
- The \"Magic Words\": Ensure the contract includes a phrase like: \"Contractor agrees that all work performed is 'Work Made for Hire' and hereby assigns all right, title, and interest in the Intellectual Property to the Client.\"
- The NDA Clause: Include a section stating that \"Customer lists, supplier names, and sales data are Trade Secrets\" and cannot be shared or used for other clients.
Do's and Don'ts
- Do: Use standard templates (RocketLawyer, HelloSign, or the built-in contracts on Upwork). You don't need a $500/hr lawyer for a $500 job.
- Don't: Start work on a \"handshake.\" If they flake or steal your idea, you have zero recourse.
- Do: Make sure the NDA covers \"Solicitation.\" This prevents the freelancer from trying to steal your other employees or customers.
Real-Life Example
A founder hired a developer to build a custom Shopify theme. They had no contract. Six months later, the developer started selling that exact same theme to hundreds of other stores on a marketplace. The founder tried to sue, but because they never signed an IP Assignment, the developer legally owned the code. The founder paid for the development of a product their competitor could now buy for $50.
